1. The seller and the reseller

You are contracting with the business Eternally Forsaken ("we", "us", or "the seller"), the provider of BASE. All rights and obligations under these Terms are those of the business alone; no owner, officer, employee or contractor of Eternally Forsaken is personally a party to these Terms or personally liable under them, and any claim relating to the service must be brought against the business only. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

2. Your account and authority

You must be of legal age to form a binding contract and have the authority to bind any organization you represent. You are responsible for keeping your account credentials confidential and for all activity under your account. You agree to provide accurate information and keep it current.

3. Acceptance

By continuing to use BASE after these Terms are posted or updated, you accept and agree to be bound by them. If you do not agree, you should stop using the service.

4. What BASE is — and is not

BASE provides AI-generated analyses, debate and voting from simulated executive roles to help you think through business decisions. Outputs are generated by automated systems and reflect the input and context you provide. They are not professional advice of any kind — not legal, financial, tax, accounting, investment or engineering advice — and must not be relied upon as a substitute for a qualified professional. You are responsible for your own decisions and for verifying any output before acting on it.

5. Acceptable use and misuse

You agree not to misuse the service. You must not, and must not allow anyone else to:

• use BASE for any unlawful, fraudulent or harmful purpose;
• submit content that infringes the intellectual property or privacy rights of others;
• interfere with security — probing, scanning, reverse engineering, scraping, or attempting to breach authentication, access controls, or the underlying systems;
• attempt to overload, disable, or disrupt the service or its infrastructure;
• use BASE to generate unlawful, defamatory, or infringing content.

AI outputs may be inaccurate. Do not use BASE outputs for regulated professional advice without independent qualified oversight.

6. Your content and licence

You retain ownership of the questions, context and materials you submit ("your content"). You grant Eternally Forsaken a limited, non-exclusive, worldwide licence to host, process and transmit your content solely to provide the service to you. You are responsible for ensuring you have the rights to submit any content you upload.

7. Our intellectual property

Eternally Forsaken owns the service, including its software, documentation, design and branding. No intellectual property rights in the service itself are transferred to you. You receive a limited, non-exclusive, non-transferable right to use BASE within your selected plan for the duration of your subscription.

8. Plans, payment and subscription terms

BASE is sold as a monthly subscription. The CEO seat is free. Each specialist executive you seat adds $20/month, and discounted bundles are offered for three, five, or all eight specialists. Your monthly total is calculated automatically from your seated executives.

Payment, billing, taxes, renewal, cancellation and refund mechanics are handled by our reseller Paddle under Paddle's Buyer Terms (https://www.paddle.com/legal/checkout-buyer-terms). Subscriptions renew automatically each billing cycle until canceled. You can cancel at any time from your account settings; access continues until the end of the current paid period.

9. No service-level guarantee

BASE is provided on an "as available" basis. We do not guarantee uninterrupted or error-free performance, and we may modify, suspend, or discontinue features with reasonable notice.

10. Suspension and termination

We may suspend or terminate your access if you materially breach these Terms, fail to pay applicable fees, or create a security or fraud risk. We may also terminate for repeated or serious violations. You may cancel your subscription at any time from your account.

11. Disclaimers and limitation of liability

To the fullest extent permitted by law, the service is provided "as is" without warranties of any kind, express or implied, including merchantability or fitness for a particular purpose. Eternally Forsaken's aggregate liability for any claim arising out of or related to the service is limited to the fees you paid in the prior six months. Neither party is liable for indirect, consequential, or special damages such as loss of profits, data, or goodwill. Nothing here excludes liability for fraud, death, or personal injury where the law does not allow it.

12. Indemnity

You agree to indemnify Eternally Forsaken against claims arising from your content, your unlawful use, or your violation of these Terms.

13. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which Eternally Forsaken operates, without regard to conflict-of-laws principles. The courts of that jurisdiction have exclusive jurisdiction over any dispute, unless you are a consumer with mandatory rights to your local courts.

14. Changes

We may update these Terms from time to time. We will post the updated version here with a new "Last updated" date. Continued use after changes constitutes acceptance.
